Terms of Service
These Terms of Service ("Terms") are a binding agreement between you ("you") and the operator of Dispatch.cash ("Dispatch", "we", "us") and govern your use of the Dispatch website, the Dispatch trading engine, the GuardedSwap smart contract and the related interfaces (together, the "Service"). By connecting a wallet, signing a permission or otherwise using any part of the Service you accept these Terms in full. If you do not agree, do not use the Service.
Operator. The Service is currently operated by the Dispatch team, an unincorporated group of contributors (the "Operator"). The Operator intends to establish a legal entity to carry on the Service. When it does, these Terms will be assigned to that entity, its name, registered address and jurisdiction will be published in this section, and your continued use of the Service after that notice constitutes consent to the assignment. Until then, "Dispatch", "we" and "us" refer to the Operator.
Interface and protocol. These Terms govern the website, the engine and the related services we operate. The GuardedSwap contract and the smart-account framework are autonomous software deployed on a public network; anyone may interact with them directly, at their own risk, without using the Service.
1. What the Service is
Dispatch is non-custodial software that copies the on-chain trades of selected traders on the Base network into a smart account that you own. The Service is not a bank, broker, exchange, custodian, money transmitter, fund, investment adviser or portfolio manager. We never hold your assets. You decide whether to use the Service, how much to deposit, which traders or strategies to follow and when to stop.
2. Your account and the permissions you sign
- Your smart account. On first use the Service deploys a smart account (a MetaMask Delegation Framework account) controlled solely by your wallet. Deposits go to that account; nothing else holds them.
- What the engine may do. To trade for you, you sign a set of narrowly scoped permissions (delegations). They allow the Dispatch engine to: swap through the GuardedSwap contract only; approve tokens to that contract only; have the network gas it paid on your behalf repaid from your account up to a cap; collect the fee described in section 5; and send ETH from your account only to your own wallet. The engine cannot withdraw to any other address, cannot change these permissions and cannot act on your wallet itself.
- Emergency exit. You also sign a permission that lets a separate operator key, kept off every server, sell positions in your account for ETH paid only to your account. It exists so that your positions can be moved to ETH in an incident without any action from you. It cannot move funds anywhere else.
- Revocation. You may stop at any time: the Stop control withdraws to your wallet, and revoking the permissions from your wallet ends everything at once.
3. How trades are protected, and what that does not mean
Every trade passes through GuardedSwap, a verified on-chain contract that enforces, independently of our servers, that swap proceeds are paid only to the account that owns the position, that only positions the contract saw bought can be sold, that each account has a loss budget trades cannot exceed, and that activity is rate-limited. These controls limit the damage a faulty or compromised trading key could do; they do not and cannot remove market risk, and they are not a guarantee against loss. The contract source and its audit log are public and linked from the Service.
4. Trading rules you accept
- Trades are copied automatically, including at night and at times when you are not watching, within the rules shown in the app (ticket size, skip rules, take-profit).
- Traders are selected by on-chain results and may be removed from the Service automatically when their behaviour changes (for example, selling into their followers). You may also follow traders of your own choosing at your own risk.
- Tokens traded are mostly new and thinly traded. Slippage, failed transactions, tokens that cannot be sold back, and sudden total loss of a position are normal features of this market, not malfunctions of the Service.
- The Service is in beta. Features, limits and the list of traders change without notice.
5. Fees
Dispatch charges no trading fee. Our fee is a share of new profit only: 15% of your account's profit above its previous high-water mark (20% for the Aggressive and Base Blue strategies), lowered for wallets holding $DSP according to the holder tiers in the Blueprint, assessed when the result is realised (for example on withdrawal). In a flat or losing period the fee is zero. Network gas paid by the engine on your behalf is repaid from your account up to a disclosed cap. Third-party costs (network fees, aggregator and liquidity-pool fees) are not set by us and are borne by you.
6. Eligibility
You must be at least 18 years old and able to enter a binding agreement. You must not use the Service where it is unlawful, and you must not be, or act for, a person on any sanctions list (including OFAC, UN, EU or UK). You are responsible for the lawfulness of your use where you are.
7. No advice, no fiduciary duty
Nothing on the site or produced by the Service — including trader rankings, strategies, statistics and simulated or past performance — is financial, investment, legal or tax advice, or a recommendation to buy, sell or hold anything. No fiduciary, advisory or trust relationship exists between you and Dispatch. Past performance does not predict future results.
8. Your wallet and keys
You are solely responsible for your wallet, keys and devices. Transactions on a public blockchain cannot be reversed, and we can never recover lost keys. Never share a private key or seed phrase with anyone, including anyone claiming to represent Dispatch; we will never ask for one.
9. Risks you accept
- Market risk. Digital assets, and especially newly launched tokens, are extremely volatile and can lose all value.
- Smart-contract risk. Our contract, the smart-account framework, the aggregator and the tokens themselves may contain defects or be exploited despite review and testing.
- Operational risk. Our servers, keys, data providers or the network may fail, be delayed or be compromised. The on-chain controls bound, but do not eliminate, the consequences.
- Third-party risk. The Service depends on the Base network, the KyberSwap aggregator, RPC providers and hosting infrastructure, each under its own terms.
- Regulatory risk. Laws affecting digital assets and copy trading are evolving and may change how or whether the Service operates.
10. No warranties
The Service is provided "as is" and "as available", without warranties of any kind, express, implied or statutory, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, or that any trade will be copied, filled or profitable.
11. Limitation of liability
To the maximum extent permitted by law, Dispatch, its operators, affiliates and contributors are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of funds, profit, data or goodwill arising from or related to the Service, even if advised of the possibility. Where liability cannot be excluded, our aggregate liability is limited to the fees you paid to Dispatch in the three months before the claim or USD 100, whichever is greater.
12. Indemnity
You will indemnify and hold harmless Dispatch, its operators, affiliates and contributors from any claim, loss, liability or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms or your violation of any law or third-party right.
13. Acceptable use
You agree not to use the Service for unlawful activity, money laundering or sanctions evasion; not to attack, probe, overload or gain unauthorised access to the Service or its infrastructure; not to add traders or addresses in order to manipulate the Service or other users; not to scrape or resell data; and not to circumvent any access, rate or geographic restriction.
14. Intellectual property
The site, its content, design and marks are owned by Dispatch or its licensors. The GuardedSwap contract source is published under its own licence in its repository. These Terms grant you only a limited right to use the interface for its intended purpose.
15. Third parties
The Service interoperates with third-party networks, protocols, wallets and tools that we do not control and are not responsible for. Your use of them is governed by their terms.
16. Taxes
You are solely responsible for any taxes arising from your use of the Service and any gains you realise.
17. Changes, suspension and termination
We may change the Service or these Terms at any time; material changes are reflected by the date above and continued use means acceptance. We may suspend or stop the Service, or your access to it, at any time, including for security reasons. Because your assets are in your own account, suspension never prevents you from withdrawing through your own wallet.
18. Governing law and disputes
Until the operating entity is established and names its jurisdiction in the Operator section above, these Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Any dispute arising from or relating to these Terms or the Service that is not settled informally within 30 days of written notice to [email protected] shall be finally resolved by binding arbitration administered by the London Court of International Arbitration under its Rules, by a sole arbitrator, seated in London, conducted in English and, where practicable, remotely. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding, and each party waives trial by jury, in each case to the extent permitted by law. Nothing in this section deprives you of mandatory consumer protections of the country where you habitually reside.
